INDIAN CORPORATE LAW: Depreciation and Sale-and-Lease-back ...


One of the most important deductions permissible under income tax law in relation to capital assets is depreciation. Under the general scheme of the Income tax Act, particularly section 32, depreciation is allowed to an assessee who is the owner of a capital asset used for the purposes of business. The criterion of ?ownership? is given a slightly more liberal scope under tax law. Assessees can make use of this relaxed understanding in structuring their transactions so as to gain the benefit of depreciation. One such device used is that of sale and lease back transactions. Such transactions often come under the scrutiny of revenue authorities as being not genuine. In this context, the question of claim of depreciation in the case of leasing transactions assumes importance. A couple of recent decisions have provided some measure of clarity in this regard.

In IndusInd Bank v. ACIT, ITA 6566/Mum/2002, a Special Bench of the Tribunal had to consider whether depreciation would be allowed to the lessor or to the lessee. The facts were that the assessee, a bank, entered into an agreement with another company under which the assessee was lease out a boiler to the company for a specific fixed period, subject to payment of lease rent. After the expiry of the period, the asset was to be sold to the company. The assessee bank claimed depreciation on the boiler. The Assessing Officer did not accept this claim on the ground that the transaction was merely a paper transaction. At best, according to the assessing officer, the transaction could be categorized as a finance lease and not an operating lease.


The Special Bench noted that in substance, a finance lease is akin to a loan from the lessor to the lessee. After examining the decision of the Supreme Court in Asea Brown Boveri v. IFCI 54 Taxman 512 (SC), and Association of Leasing & Financial Services Companies v. Union of India , and relying on Accounting Standard ? 19, the Special Bench noted the broad features of a finance lease as under (para 5.14 of the order of the Bench):

-???????? A finance lease is non-cancelable, and there is a fixed obligation on the lessee for payment of lease rent for the period of the lease. If the lease is terminated prematurely by the lessee, the lessor is entitled to recover his investment along with expected interest.

-???????? A finance lease is always for a fixed period. This period is calculated by taking into consideration the economic life of the asset; and is settled in such a way so as to fully recover the investment of the lessor together with interest.

-???????? The lessor is interested in the recoupment of his investment with interest in
the shape of rentals over the period of lease, and not really with the asset itself or its user.

-???????? The lessee bears the responsibility of costs of insurance, repairs, maintenance etc. The features of bailment are absent. An operating lease, on the other hand, has the features of bailment. In a finance lease, the responsibility of the lessee is not restricted only to taking ?as much care as a man of ordinary prudence would? as warranted under section 151 of the Contract Act, but extends beyond this threshold.

-???????? The equipment is chosen by the lessee, but the payment to the supplier is made by the lessor. Thus, the lessee chooses the assets, takes delivery, enjoys the
use of the asset, and bears the risks and costs of its wear and tear, taxes/charges in relation to the asset etc. The risks and rewards incidental to ownership vest with the lessee and not with the lessor. The lessor simply holds the title of asset by way of security for recouping the investment and interest.

The Special Bench further noted that in the case of an operating lease, a lessor can claim depreciation; however, in the case of a finance lease, only the lessee would be entitled to claim depreciation. The Tribunal noted that even for the purposes of tax law, ?In a lease transaction also there can be only one owner of the asset, that is, either the lessor or lessee and not both of them or either of them at their discretion. Whereas in the case of operating lease, it is the lessor who is the real owner of the asset, but in case of finance lease, it is the lessee who is to be regarded as the real owner of the asset. Ex consequenti only the lessor can claim depreciation in case of an operating lease and the lessee, as to who should be conferred the benefit of deprecation allowance.?

Further examining the terms of the agreement between the parties, the Special Bench held that the lease agreement was a paper transaction to cover up the reality. The bench noted, following the decision of the Supreme Court in Sundaram Finance Limited v. State of Kerala AIR 1966 SC 1178, ?The true effect of a transaction may be determined from the terms of the agreement considered in the light of the surrounding circumstances. In each case the Court has, unless prohibited by the statute, power to go beyond the document and to determine the nature of transaction, whatever may be the form of the document??

The Delhi High court also recently considered the question of when an agreement should be considered as a finance lease and when it should be considered as an operating lease. The Court reaffirmed that the question could not be decided by merely looking at the title, nomenclature or label given to the agreement: the terms and conditions of the Agreement are relevant but not conclusive. Surrounding circumstances can look at. The court followed Sundaram Finance, which in turn had relied on the following observation of Lord Esher MR in Re Watson ??When the transaction is in truth merely a loan transaction, and the lender is to be repaid his loan and to have a security upon the goods, it will be unavailing to cloak the reality of the transaction by a sham purchase and hiring. It will be a question of fact in each case whether there is a real purchase and sale complete before the hiring agreement. If there be such a purchase and sale in fact and afterwards the goods are hired, the case is not within the Bills of Sale Act. The document itself must be looked at as part of the evidence, but it is only part, and the Court must look at the other facts and ascertain the actual truth of the case.?

At the same time, these observations must not be treated as giving complete freedom to the revenue to ignore the wording of the contract between the parties: the Madras High Court recently clarified (CIT v. M/s High Energy Batteries, T.C. 579/2005, decided on 17th April, 2012; a decision in the context of a reopening of assessment where the Revenue?s stance was that a sale and lease back transaction was not genuine), ?Given the freedom to enter into agreements with parties and guided by commercial considerations, even to invoke the theory of tax evasion, the Revenue must have sufficient material to draw an inference of what had been shown as an understanding on an agreement between the parties, is not, in fact, so.?


It is thus clear from these decisions that the distinction between operating leases and finance leases (clarified by the Supreme Court in ABB?s case) is relevant in income tax law as well, and suitable care needs to be taken in structuring transactions and drafting the agreements to avail of appropriate tax benefits.

BLACK SABBATH Paranoid music review by Conor Fynes

5 stars 'Paranoid' - Black Sabbath (9/10)

Barring the fact that the album was released a damned decade before metal was in full swing, Sabbath's 'Paranoid' was, and is as solid an album as they come. Although the self- titled debut may have had more of an immediate impact, Iommi and company would focus in on their doom innovation, a decision setting them further apart from the hordes of UK blues rockers. It's not often that an album is still relevant forty years after its release.

Considering how iconic 'Paranoid' is, it seems redundant to dwell on general information regarding the album. Suffice to say, taking into consideration that 1970 was the same year Led Zeppelin recorded 'II', Black Sabbath took a more downtuned, heavier approach to rock music. British rock was opening itself up to a more distorted sound in general, but Sabbath weren't afraid to sound ugly. A familiar blues style can be heard in Iommi's crunchy lead work, but the use of tritones, or 'evil' sounding riffs was what gave the band their then- unique take on rock music. The lyrical content somewhat fittingly either contends with the concept of war, or nightmarishly drug-fuelled adventures. As a respite from the doomy riffs, 'Paranoid' is fleshed out with some sounds of 60's era psychedelia, as best exemplified by the spacey, jam-oriented 'Planet Caravan'.

The first side of the album is a hit parade of some of the band's best-known tracks. 'War Pigs' sets up the rest of the album perfectly; a gloomy overture introducing Iommi's gritty guitar tone and some of the best riffs on the album. 'Paranoid' and 'Iron Man' are both instantly memorable tunes that have earned their due as rock radio staples. My favourite cut from the record would have to be 'Electric Funeral' however, opening the second side on an even darker note. From its signature psych-doom riff to lyrics about the apocalyptic existence of mutants in a post-nuclear city, it perfects the heavy darkness explored on the first side. The rest of 'Paranoid's later half doesn't feel quite as memorable as the first, however. The musical tightness never lets down, but 'Hand of Doom' and instrumental afterthought 'Rat Salad' feel a little less vital than the rest. Luckily, 'Fairies Wear Boots' wraps things up on a rocking note, closing with an epic lead melody that seems to foreshadow the future sound of Iron Maiden.

'Paranoid' is not quite perfect, but it's fairly close, especially considering that the sound of heavy metal was still so young. At the very least, it deserves its status as a classic. With memorable songwriting, evocative lyrics and some of the best riffs ever written, who could ask for more?

ScienceDaily (May 27, 2012) ? Newfound details of the immune system suggest a role for never-before-considered drug classes in the treatment of allergic and autoimmune diseases, according to a University of Alabama at Birmingham study published online May 27 in Nature Immunology.

The results advance the current understanding of the way the body's initial, vague reaction to any invading organism expands into a precise and massive counterattack. That expansion starts when a dendritic cell "swallows" a piece of any invader encountered, ferries it to the nearest lymph node and presents it there for notice by lymphocytes, the workhorse cells of the immune system.

According to the current model, dendritic cells first must encounter T lymphocytes in the paracortex, or T cell zone, within the node. Only there will the interaction enable lymphocytes to expand into an army of clones primed to attack the invader.

To the research team's great surprise, the data showed that, although immune response works this way during viral flu infections, it is not always the case. When the body is infested with parasitic worms, for instance, dendritic cells link with T cells near B lymphocytes, under the control of B cell-related signals and outside the T cell zone.

"Considering that diseases from asthma to lupus can occur because the system mistakenly ramps up the same types of T cell responses it normally uses against worms, our finding that B lymphocytes control the T cell/dendritic cell interactions that trigger such responses has important, practical implications," said Frances Lund, Ph.D., chair of the UAB School of Medicine's Department of Microbiology and corresponding author. "The field now has cause to look at several experimental and existing drugs known to interrupt B cell signals as potential treatments for diseases driven by T cells."

Study details

Before joining UAB in March 2012, Lund worked alongside Tim Mosmann, Ph.D., at the University of Rochester Medical Center. In 1986 Mosmann advanced his groundbreaking theory on the way the immune system decides which sets of immune cells are most effective against different invader types. According to his Th1/Th2 model, Th1 T helper cells were best against viruses because they helped invaded human cells self-destruct before viruses could turn them into virus factories. Th2 helper T cells were best against parasites because they helped the B cells mass produce antibodies that glommed onto and removed worms from the spaces between cells.

The current study found that B cells, as part of the Th2 response to worms, start pumping out a protein called lymphotoxin, which in turn signals nearby stromal cells to produce more of the chemokine CXCL13.

B cells are able to gather in B cell areas of lymph nodes in the first place because they express CXCR5 receptor proteins that sense and move toward higher concentrations of CXCL13. The team discovered that a set of dendritic cells also begins expressing CXCR5 during a worm infection.

With B cells and activated dendritic cells gathered near B cells, T helper cells next must join the party if the immune response is to expand. While T cells dump into lymph nodes at many points, only those that happen to enter near B cells, and to bump into CXCR5-expressing dendritic cells, drive the response to worms forward, according to the authors.

The authors also believe such interactions trap T cells near the B cell area and that proximity determines the kind of cells they becomes next. Those receiving the strongest signals become the T helper follicular cells that B cells must partner with to produce antibodies specific to the current pathogen. Those getting weaker signals become Th2 effectors that travel back to the infection site to cause the histamine release and intestinal muscle contractions that help to expel worms.

Though vital to effective immune responses to worms, T helper follicular cells and Th2 cells have a dark side. For example, T helper follicular cells in some cases inappropriately help B cells produce high affinity "auto" antibodies that recognize the body's own cells as foreign and can destroy the kidneys of lupus patients and the joints of patients with rheumatoid arthritis.

In other cases, Th2 cells respond to allergens in the lung like house dust mites because the mites look like worms to the immune system and the confused Th2 cells respond to the allergen as they would to a worm. This mistaken recognition causes histamine release and bronchoconstriction in the lungs, two of the major clinical symptoms of asthma.

"We know of experimental biologics that interrupt the ability of B cells to give off lymphotoxin and prevent the development of helper Th2 cells and T helper follicular cells," Lund said. "Could such antibody-based treatments be useful against some autoimmune diseases and asthma? We think so, but time and further studies will tell."

Along with Lund, Troy Randall, Ph.D., the Claude Bennett Scholar in the UAB Department of Medicine's Division of Clinical Immunology and Rheumatology, and UAB post-docs Beatriz Le?n, Ph.D., and Andr? Ballesteros-Tato, Ph.D., made major contributions to the work. Also making important contributions were Jeffrey Browning at Biogen Idec and Robert Dunn at the Pfizer Centers for Therapeutic Innovation (formerly at Biogen Idec). The study was supported by the National Institute of Allergy and Infectious Diseases.

Times-Picayune to cut paper to 3 days a week

NEW ORLEANS (AP) ? The Times-Picayune, one of the nation's oldest newspapers, will no longer offer print editions seven days a week and instead plans to offer three printed issues a week starting in the fall. The change means New Orleans would become the largest metro area in the nation without a daily newspaper in the digital age.

The changes announced Thursday were combined with similar moves at three major Alabama daily newspapers also owned by the Newhouse family group's Advance Publications. The Birmingham News, the Press-Register in Mobile and The Huntsville Times will switch to publishing three days a week as part of a new focus on online news. At all four papers, there will be unspecified staff cuts. All four papers will continue to publish continuously on their websites, and online access will remain free.

Newspapers have struggled in recent years as consumers increasingly get their news online. Print advertising declined as the economy went into recession, and newspapers have yet to learn how to make online advertising as profitable as its printed counterpart.

"For us, this isn't about print versus digital, this is about creating a very successful multi-platform media company that addresses the ever-changing needs of our readers, our online users and our advertisers," said Advance Publications' president of local digital strategy, Randy Siegel, in an interview with The Associated Press. "This change is not easy, but it's essential for us to remain relevant."

Siegel didn't say how much money the reduced print runs in Louisiana and Alabama would save, nor how many staff members would be laid off or hired in the new online units.

"To get good quality information is not cheap," said Jennifer Greer, chair of the journalism department at the University of Alabama. "What you are seeing is people trying to figure out a business model that works in a digital age."

The decision was met with sadness by some residents in New Orleans, where The Times-Picayune won a Pulitzer Prize for its coverage of Hurricane Katrina in 2005. Staffers continued reporting despite being forced out of the newspaper's offices amid widespread flooding and power outages.

The storm drove away thousands of residents, some of whom never came back. The city ? and its newspaper ? struggled to recover in the years since.

The paper was a lifeline for the Southern, working-class city, providing government announcements, obituaries, Carnival and scoops on local corruption, said Cheron Brylski, a 53-year-old New Orleans-based political consultant. Not having the paper every day is like losing a sports team, she said.

"Where is New Orleans headed since Katrina? This is not something that helps our recovery," she said.

The papers in Alabama also have long histories. The Mobile paper has roots to 1813 with the founding of the Mobile Gazette and became a daily in 1832, according to a history of the publication on al.com. And in 2007, the Birmingham News won a Pulitzer Prize for a series on corruption in Alabama's two-year college system.

Birmingham News employees were told during morning meetings that longtime Editor Tom Scarritt will retire this fall when the new companies are created, according to two reporters who spoke on condition of anonymity because they were not authorized to speak publicly about the changes for the company.

In New Orleans, a new company, the NOLA Media Group, would be created to oversee both The Times-Picayune and its affiliated website, NOLA.com.

The announcements mirror changes Advance Publications made in Michigan. In 2009, the company shut the Ann Arbor News but created AnnArbor.com, a news website that still publishes print editions on Thursday and Sunday.

In February, it launched the MLive Media Group, which runs MLive.com, to focus its efforts in Michigan digitally. Meanwhile, all of its eight other newspapers in the state offer three days of home delivery with newsstand sales from three to seven days a week.

Newspaper analyst Ken Doctor, who writes the Newsonomics blog, said the company is trying to hold on to declining print ad revenue for a few more years, and expects Advance to eventually cut print runs at its other newspapers in New Jersey, Oregon, Ohio and elsewhere. The company owns The Oregonian in Portland, Ore.; The Plain Dealer in Cleveland; and The Star-Ledger in Newark, N.J.

"It's a big bet to retain profitability and hope that in the shock therapy, there are profits on the other end," he said.

Print circulation has been dropping steadily over the years at the four newspapers affected by Thursday's announcement, according to the Audit Bureau of Circulations. On average, the four papers' circulation in the half year through March fell about 6 percent from a year ago.

Nonetheless, the Times-Picayune remains one of the nation's most successful newspapers. Of the top 50 large-sized markets, the newspaper has the highest rate of readership of its daily edition in the U.S., according to Austin, Texas-based Scarborough Research, a firm that tracks the industry.

The Times-Picayune's average paid circulation was 133,557 in the six months through March, down 49 percent compared to March 2005, a few months before Hurricane Katrina hit.

The Birmingham News' circulation of 103,729 is down 29 percent from five years ago; the Press-Register's of 82,088 is down 18 percent; and The Huntsville Times' of 44,725 is down 15 percent.

Die-hard supporters and even Mayor Mitch Landrieu pledged to make sure the newspaper remained a part of New Orleans culture.

"Through wars and floods, the 'Aints and a Saints Super Bowl victory, the TP has been and remains an integral part of our daily routine and our culture," Landrieu said.

Anne Milling, a longtime member of the advisory board to The Times-Picayune, said an online-focused model wouldn't work in New Orleans. She said she and other supporters were exploring bringing in new owners committed to a daily paper, or even starting a new daily publication.

"We always do things differently," she said. "It's part of our tradition: You wake up with a cup of chicory coffee and read the newspaper."
